<p>Sirius and XM Premier (formerly known as &#8220;The Best of Sirius&#8221;) subscribers who have SiriusXM Internet Radio access in addition to their satellite radio subscription will now be able to listen to every NFL game from the preseason through the Super Bowl streamed online and through the SiriusXM App for smartphone and wireless devices.</p>
<p>The 2011 NFL season kicks off tonight, Sept. 8 (8:30 pm ET), with a matchup of the league&#8217;s previous two Super Bowl winners when the defending champion Green Bay Packers host the 2009 champion New Orleans Saints.  SiriusXM will air the Packers radio broadcast (ch. 93 on Sirius, ch. 226 on XM Premier, ch. 862 online), the Saintsradio broadcast (ch. 92 on Sirius, ch. 225 on XM Premier, ch. 861 online) and the national radio broadcast (ch. 88 on Sirius and XM Premier, and online).  Former NFL quarterback Jim Miller will broadcast live for SiriusXM NFL Radio from Green Bay&#8217;s Lambeau Field before and after the game.</p>

<p>SiriusXM NFL Radio, the acclaimed channel dedicated entirely to pro football talk, continues to offer in-depth coverage of the league 24 hours a day, 365 days a year.  Available on channel 88 on Sirius and XM Premier, SiriusXM NFL Radio features exclusive daily talk shows hosted by NFL experts, one-on-one interviews with players, coaches and executives from around the league, and more.  The channel&#8217;s roster of hosts includes both current and former players, coaches and front office executives including: Carl Banks, Gil Brandt, Derrick Brooks, Randy Cross, Dean Dalton, Rich Gannon, Pat Kirwan, John Madden, Jim Miller, Tim Ryan, Ross Tucker and Solomon Wilcots.</p>

Madden will discuss the latest NFL news and preview the coming weekend&#8217;s matchups.  Madden&#8217;s in-depth game breakdowns will also replay every Sunday morning on The SiriusXM NFL Tailgate Show, SiriusXM NFL Radio&#8217;s pre-game program (Sundays from 9:00 am — 12:00 pm ET).</p>
<p>Madden will also join Chris &#8216;Mad Dog&#8217; Russo for a weekly NFL discussion every Friday at 5:00 pm ET on SiriusXM&#8217;s Mad Dog Radio, channel 86.</p>

<p>Sirius XM Radio announced today that it will pay tribute to Nirvana, the band often identified as the most important rock group of the 1990s, as band members Krist Novoselic and Dave Grohl, as well as Butch Vig, who produced the groundbreaking album <em>Nevermind, </em>sit down for a rare Q&amp;A session, hosted by Jon Stewart, with a select group of SiriusXM listeners at the SiriusXM studios in New York City.</p>
<p>&#8220;SiriusXM&#8217;s Town Hall with Nirvana<em>,&#8221; </em>the two-hour broadcast event, will air live on Lithium, channel 34, on Saturday, September 24 at 8:00 pm ET, the 20th anniversary of the release of <em>Nevermind.</em> The live special is part of SiriusXM&#8217;s &#8220;Town Hall&#8221; series, an intimate gathering with an iconic musician and a studio audience of SiriusXM listeners.</p>
<p>Hosted by Jon Stewart, the &#8220;SiriusXM Town Hall with Nirvana&#8221; will feature Novoselic, who founded Nirvana with Kurt Cobain; Grohl, whose first full length recording with the band was the classic <em>Nevermind</em>; and producer Vig answering questions from the live studio audience as well as questions from listeners calling in from around the country.</p>
<p>&#8220;This is our way to honor the artists who, with the release of <em>Nevermind, </em>influenced a generation and marked a change in the course of music history no generation will ever forget,&#8221; said Scott Greenstein, President and Chief Content Officer, SiriusXM. &#8220;Our &#8216;Town Hall&#8217; series offers our listeners a rare chance to meet some of the most important and influential artists of our time.&#8221;</p>
<p>&#8220;SiriusXM&#8217;s Town Hall with Nirvana&#8221;<em> </em>is part of <em>Nevermind Radio, </em>an all-Nirvana limited-run channel on SiriusXM. <em>Nevermind Radio </em>will launch on Friday, September 23 at3:00 pm ET on channel 34 and will feature the music of Nirvana&#8217;s entire career, including their three classic albums, B-sides, rarities and live performances. <p>“Consumers want their audio choices personalized to match their individual needs and preferences, especially while they are in their cars,” said Mike Kahn, director of the Audio Product Division at Sony Electronics. “Sony is redefining content selection in the car. Whether someone wants convenient access to commercial-free music and sports, news, talk and entertainment from SiriusXM, music discovery services like Pandora or iPod and iPhone compatibility, we now have a solution at lower prices than ever before: We now offer SiriusXM compatibility from as low as $90 SRP and Pandora compatibility from as low as $130 SRP.”</p>
<p style="text-align: left" align="center"><strong>Universal SiriusXM™ Satellite Connectivity</strong></p>
<p style="text-align: left" align="center"><strong> </strong>Four of the new models (CDX-GT565UP, CDX-GT660UP, CDX-360MP, CDX-GT56UI) feature SiriusXM compatibility, using the new SXV100 SiriusXM Connect Vehicle Tuner Kit (sold separately, XM subscription required). The compact SiriusXM vehicle tuner has a simple connection, providing integration of SiriusXM in an inexpensive and easy-to-install package. The SiriusXM vehicle tuner also provides numerous new features including the ability for listeners to pause and rewind live SiriusXM satellite radio.</p>
<p>The entry-level CDX-GT360MP model is SiriusXM compatible plus offers great sound quality from its built-in equalizer and powerful 52&#215;4 watt high power amplifier – all at an affordable price point of $90 SRP. The step-up CDX-GT56UI model offers all the features of the CDX-GT360MP receiver and adds iPod and iPhone control, allowing users to control digital music using the USB 1-wire, and 7 Band Digital Equalizer, Time Alignment and Automatic Level Optimizer.</p>

<p>Sirius XM Radio today announced second quarter 2011 results, including revenue of $744 million, up 6% over second quarter 2010 revenue of $700 million, and adjusted EBITDA of $185 million, up 20% from $154 million in the second quarter of 2010.</p>
<p>&#8220;Our results in the second quarter were strong, and we are proud of our record levels of subscribers, revenue, and adjusted EBITDA and growth in free cash flow. SiriusXM continues to perform well, and we are pleased to raise our subscriber guidance and, for the second time this year, our free cash flow guidance,&#8221; said Mel Karmazin, Chief Executive Officer, SiriusXM.</p>
<p><strong>Highlights from the quarter include:</strong></p>
<p>Subscriber growth continues. Auto sales growth and higher OEM penetration year-over-year drove ending subscribers as of June 30, 2011 to 21,016,175, up 8% from the 19,527,448 subscribers reported as of June 30, 2010. Self-pay net additions in the second quarter of 2011 were 362,663, up 19% from 304,043 in the second quarter of 2010.<br />
Churn stable. Average self-pay monthly churn was 1.9% in the second quarter 2011, compared to 2.0% in the first quarter 2011 and 1.8% in the second quarter of 2010.<br />
SAC improves. Subscriber acquisition cost (SAC) per gross subscriber addition was $54 in the second quarter of 2011, an 8% improvement from the $59 reported in the second quarter of 2010.</p>
<p>&#8220;Demand for satellite radio continues to grow, with gross additions reaching the highest level of any quarter since the merger of Sirius and XM. Our all-time high OEM penetration rate is a reflection of the automakers&#8217; satisfaction and their commitment to offer our service to their customers,&#8221; said Karmazin. &#8220;We intend to drive future growth through innovations to our satellite and internet platforms, with the goal of better delivering our unparalleled content to our valued customers. We&#8217;re also excited to launch a variety of additional new music and talk channels later this year.&#8221;</p>
<p>Free cash flow in the second quarter of 2011 was $165 million, a 53% improvement from the $108 million reported in the second quarter 2010. These improvements were driven by cash received from the Canada merger, a decline in satellite capital expenditures, and improved adjusted EBITDA. Net income in the second quarters of 2011 and 2010 was $173 million and $15 million, respectively, or $0.03 and $0.00 per diluted share, respectively.</p>
<p>&#8220;We ended the second quarter with $528 million of cash and cash equivalents after using approximately $75 million to repurchase debt in the second quarter,&#8221; said David Frear, SiriusXM&#8217;s Executive Vice President and Chief Financial Officer. &#8220;We continue to make steady progress toward reaching our leverage target. Our net debt to adjusted EBITDA declined to 3.7x at the end of the second quarter of 2011 from 5.2x at the end of the second quarter of 2010. The company is examining ways to start efficiently returning capital to shareholders beginning in 2012,&#8221; added Frear.</p>
<p>The discussion of adjusted EBITDA excludes the effects of stock-based compensation and certain purchase price accounting adjustments. A reconciliation of non-GAAP items to their nearest GAAP equivalent is contained in the financial supplements included with this release.</p>
<p><strong>2011 GUIDANCE</strong></p>
<p>&#8220;With the excellent subscriber performance recorded in the first half of 2011, we are now confident that we will exceed our previously announced 1.4 million net subscriber addition guidance for 2011. Today we are raising our full-year guidance to a projected 1.6 million net subscriber additions,&#8221; added Karmazin. &#8220;After a strong first half, we now expect free cash flow in 2011 will approach $400 million, up from our prior guidance of approaching $350 million.&#8221;</p>
<p>In 2011, the company continues to expect full-year revenue of approximately $3 billion. SiriusXM&#8217;s adjusted EBITDA projection remains at approximately $715 million. Full year self-pay churn and conversion rates for 2011 should be broadly similar to those seen in 2010.</p>
